Fabrizio Porcaro is the founder of Porcaro Lawyers. After many years in private practice he wanted to establish a specialist Tax and Corporate Law firm with an emphasis on small and medium enterprises and private clients.

He specialises in corporate and commercial law, with an emphasis on tax-effective structures, superannuation, tax planning, stamp duty and partnership law.

He has experience in advising businesses and individuals on the federal and state tax implications of commercial and property transactions, legal structures and restructures, superannuation and estate and succession planning. He also advises on tax disputes with the Commission of Taxation and Revenue SA.

In his broader Commercial practice, Fabrizio advises on issues including corporate governance, structuring, asset protection, fundraising, banking and finance, intellectual property and risk management, and drafting agreements of all types.

In his broader Commercial practice, Fabrizio advises on:

·           financing issues, acting for both borrowers and lenders, including drafting loan security documentation;

·           fundraising, including prospectus requirements and managed investment schemes;

·           leasing issues, including preparing leases for both tenants and landlords;

·           corporate governance issues, including directors duties, conflicts of interest and regulatory compliance;

·           intellectual property issues, including confidentiality agreements; and

·           risk management, including asset protection and compliance issues.

Fabrizio advises accountants, business owners and individuals on all tax issues.

His expertise includes:

·           advising on superannuation issues;

·           the use of superannuation for wealth creation and estate planning;

·           the ability for superannuation funds to borrow money under the Instalment Warrant provisions;

·           advising on the tax effects of business structure options;

·           advising on the tax implications of commercial and property transactions, including identifying tax-effective options and strategies;

·           advising on state tax issues, including payroll tax, land tax and stamp duty;

·           advising on federal tax issues, including income tax, GST and capital gains tax.

Recent Tax Experience

His recent tax experience includes:

·           advising a major public South Australian superannuation fund on revisions to its superannuation deed to comply with changes to the law;

·           advising a number of accounting firms on taxation issues for their clients, particularly on the tax implications of disposals and acquisitions, structuring and asset protection;

·           advising a biotechnology business on a management buyout, including addressing restructuring and venture capital issues;

·           preparing documentation to allow superannuation funds to borrow money under the Instalment Warrant provisions

In addition to his legal qualifications, Fabrizio has a Bachelor of Commerce and a Graduate Diploma in Applied Investment and Finance.
